ZR Per Diem Services LLC Terms & Conditions                                      

1. Acceptance of Terms

 By accessing and using ZR Per Diem Services LLC ("ZRPD") and the Revolution Portal ("Revolution" or the "Portal"), you (the "User") agree to be bound by these Terms and Conditions (the "Agreement"), as well as the ZRPD Privacy Policy, incorporated herein by reference. If you do not agree, you may not use the Portal or services.     

 

2. License to Use Portal

ZRPD grants you a personal, non-exclusive, non-transferable, revocable license to use the Portal and related websites solely for the purpose of accessing ZRPD services. You may not:

  • Copy, modify, reverse engineer, or decompile the Portal
  • Reproduce or redistribute content or functionalities to third parties
  • Allow non-employees or unauthorized individuals access to the Portal

Limited administrative rights may be granted to permit access to collaborators (e.g., staff uploading documents or accessing reports), provided such access supports the ordinary use of the services.

3. User Conduct

You agree not to:

  • Interfere with Portal operations or attempt unauthorized access
  • Use the Portal for any unlawful activity
  • Violate intellectual property or proprietary rights
  • Share credentials or access with unauthorized users
  • Submit harmful or malicious content (e.g., malware, spyware)

4. Intellectual Property

All content on the Portal (text, graphics, code, trademarks, etc.) is owned or licensed by ZRPD and protected by intellectual property laws. You may not reuse, distribute, or republish content without prior written consent.

5. Copyright & Trademark Infringement

ZRPD will respond to valid notices of copyright infringement under applicable law (e.g., DMCA) and reserves the right to suspend repeat infringers.

6. Third-Party Links

ZRPD is not responsible for the content or privacy practices of third-party sites linked through the Portal. Users are encouraged to review the terms and privacy policies of external websites independently.

7. Account & Password Security

You are solely responsible for maintaining the confidentiality of your login credentials. Notify ZRPD immediately at support@zrperdiem.com if you suspect unauthorized access.

8. Monitoring & Downtime

ZRPD reserves the right to:

  • Monitor activity on the Portal
  • Suspend access for maintenance, legal, or security purposes without liability

9. Disclaimer of Warranties

The Portal is provided "as is" without warranties of any kind, express or implied. ZRPD does not guarantee uninterrupted or error-free service.

10. Limitation of Liability

ZRPD and its affiliates shall not be liable for any:

  • Indirect, incidental, or consequential damages
  • Business losses, loss of goodwill, data, or profits

ZRPD is not responsible for outcomes resulting from incomplete or inaccurate information provided by Users.

11. Indemnification

You agree to defend, indemnify, and hold harmless ZRPD and its affiliates from any claims, losses, or damages arising from:

  • Your use of the Portal
  • Violation of this Agreement
  • Violation of third-party rights

12. Scope of Services

ZRPD is not a law firm and does not provide legal advice. It coordinates per diem coverage by independent contractor attorneys. The User:

  • Authorizes per diem attorneys to appear on their behalf
  • Is solely responsible for providing accurate, complete instructions
  • Acknowledges ZRPD is not liable for unsatisfactory outcomes resulting from incomplete instructions

13. Acceptable Use

Permitted uses include scheduling appearances, managing cases, messaging. You agree not to:

  • Engage in harmful, fraudulent, or illegal activity
  • Transmit malware or spam
  • Collect or harvest data without authorization
  • Submit knowingly false or misleading content

14. User Content

Any content submitted by you must not violate applicable law or third-party rights. ZRPD reserves the right to remove any submitted content at its discretion.

15. Restricted Access

ZRPD may restrict access to any part of the website or Portal. You must keep login credentials confidential. Access may be disabled without notice.

16. Privacy & Data Handling

ZRPD takes your privacy seriously. Our Privacy Policy explains how we collect, use, store, and protect your personal and case-related information. By using our services, you acknowledge and agree to the following:

  • Collection & Use: We collect personal information (such as name, email, bar credentials) and case-related materials (documents, instructions, client details) to facilitate requested services.
  • Storage: All data is stored securely using encrypted systems and is accessible only to authorized ZRPD personnel and the assigned independent contractor attorneys.
  • Disclosure: Information may be shared only with individuals or third parties necessary to complete the requested per diem services.
  • Security Disclaimer: While ZRPD uses industry-standard safeguards to protect data, no online platform can guarantee 100% security. By using the Portal, you accept the inherent risks of electronic communication and agree not to hold ZRPD liable for unauthorized access due to no fault of our own.

17. User Obligations

  • All service requests must be submitted through the Portal
  • ZRPD will not process requests submitted by other means unless confirmed
  • Users must verify confirmation emails and updates
  • Services are for licensed attorneys only
  • Users are responsible for prompt payment and updates to contact info
  • Cancellation fees apply for confirmed requests cancelled late or same-day

18. Payment Terms

  • Payment must be received in advance unless otherwise arranged
  • Late payments (30+ days) may incur interest charges not exceeding the legal maximum
  • Users are responsible for all service fees regardless of ultimate recipient or instruction source

19. Arbitration & Jurisdiction

All disputes shall be resolved by binding arbitration in Nassau County, New York. Parties waive the right to jury trials. New York law governs this Agreement.

20. Severability

If any provision of this Agreement is found unenforceable, the remainder will continue in effect.

21. Amendments

ZRPD reserves the right to revise these Terms at any time. Continued use of the Portal constitutes acceptance of any revised terms.

22. Termination

ZRPD may terminate this Agreement at any time. Users remain responsible for any charges incurred before termination.

23. Notices

Notices to Users will be sent via email to the address listed in your Portal profile. Notices to ZRPD must be sent to:

24. Entire Agreement

This document constitutes the entire agreement between you and ZRPD and supersedes prior agreements.

By using the ZRPD services or accessing the Revolution Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
